Terms of Service — Kindhabitlabs Inc

Welcome to Roomi! These Terms of Service (“Terms”) govern your use of the Roomi mobile app, website, and dashboard (the “Services”) provided by Kindhabitlabs Inc. (“we”, “our”, or “us”). By using our Services, you agree to these Terms.

1. Eligibility

Roomi is used by treatment facilities to manage clients, who may include minors enrolled under a facility’s care. Facility administrator and staff accounts require the user to be 18 or older. Minor clients are enrolled by their treatment facility, which is responsible for obtaining any parental, guardian, or legally authorized consent required under applicable state and federal law prior to enrollment. Roomi does not independently verify age or consent status for client accounts created by a facility.

2. Use of Services

Roomi provides tools for clients, staff, and clinicians at sober living and treatment facilities to track daily progress, chores, journals, and mental health check-ins. You agree to use the Services only for lawful purposes and in compliance with all applicable laws.

3. Accounts

Users may be assigned roles (client, staff, clinician, or admin). You are responsible for maintaining the confidentiality of your login information. Any activity under your account is your responsibility.

Facility Administrator Accounts. By creating a facility administrator account and accepting these Terms, you additionally agree to the Master Services Agreement and Business Associate Agreement, and represent that you are authorized to bind your facility to those agreements. These additional terms do not apply to client, staff, or clinician accounts.

4. Subscription & Billing

Facilities may subscribe to Roomi on a monthly or annual basis, as set forth in the Master Services Agreement. Fees will be billed automatically until canceled. We reserve the right to change prices with 30 days’ notice.

5. Data & Content

You retain ownership of content you submit to Roomi. You grant us a limited, non-exclusive license to store, secure, and display your content as needed to provide the Services, including during any post-termination retention period described in our Privacy Policy and Business Associate Agreement.

6. Health Disclaimer

Roomi is not a medical service or licensed healthcare provider. It is a digital support tool and should not be used as a substitute for professional medical advice or emergency intervention. For clients receiving substance use disorder treatment, certain records may be subject to additional confidentiality protections under 42 CFR Part 2, which restricts redisclosure beyond what HIPAA alone requires.

7. Termination

We may suspend or terminate your access if you violate these Terms or abuse the platform. You may cancel at any time.

8. Limitation of Liability

We are not liable for indirect, incidental, or consequential damages. Our total liability under these Terms shall not exceed the fees paid to us in the 12 months prior to the claim.

9. Indemnification

You agree to indemnify and hold Kindhabitlabs harmless from claims arising out of your violation of these Terms or misuse of the Services.

10. Governing Law

These Terms are governed by the laws of the State of Utah, without regard to conflict of laws principles.

11. Dispute Resolution; Arbitration Agreement; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration, rather than in court, except that either party may bring an individual action in small claims court.

  • Arbitration Administration. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (or Commercial Arbitration Rules, as applicable), and will be conducted in Salt Lake County, Utah, or another mutually agreed location, or, at the option of the party seeking relief, by videoconference or in writing.

  • Class Action Waiver. You and Kindhabitlabs agree that any arbitration or proceeding shall be limited to the dispute between us individually. To the fullest extent permitted by law: (i) no arbitration or proceeding shall be joined with any other; (ii) there is no right or authority for any dispute to be arbitrated or resolved on a class-action basis or to utilize class action procedures; and (iii) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

  • Opt-Out. You may opt out of this arbitration agreement by sending written notice to legal@kindhabitlabs.com within thirty (30) days of first accepting these Terms. Your notice must include your name and a clear statement that you wish to opt out of arbitration.

  • Exceptions. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of a party’s intellectual property or confidentiality obligations.

  • Severability. If any part of this arbitration agreement is found to be unenforceable, that part shall be severed, and the remainder of this agreement shall remain in full force and effect, except that if the Class Action Waiver is found unenforceable as to a particular claim or request for relief, that claim or request for relief must be brought in court and severed from any arbitration.

12. Changes to Terms

We may update these Terms from time to time. Continued use of the Services constitutes acceptance of the new Terms.

Privacy Policy — Kindhabitlabs Inc

Your privacy matters to us. This Privacy Policy explains how Roomi collects, uses, and protects your information.

1. Information We Collect

We collect:

  • User Data: Name, email, facility, role (client/staff/clinician)

  • Daily Entries: Check-ins, journal logs, chore completions, mood tracking

  • Device Info: App version, IP address, usage logs

2. How We Use Your Data

We use your information to:

  • Provide and maintain our Services

  • Communicate with users and admins

  • Monitor usage and improve performance

  • Provide data access to authorized clinicians or facility staff

3. Sharing of Data

We do not sell your personal data. Data may be shared:

  • With your facility or clinician (per your assigned role)

  • With third-party service providers who support our platform (e.g., AWS)

  • When legally required (e.g., court orders)

Any third-party service provider with access to Protected Health Information is bound by a Business Associate Agreement consistent with HIPAA requirements.

4. HIPAA Compliance

Roomi is committed to safeguarding health-related data. All sensitive data is encrypted and stored securely. Only authorized personnel may access it in accordance with HIPAA regulations. For clients enrolled in substance use disorder treatment programs, certain data may also be subject to 42 CFR Part 2, which imposes stricter limits on redisclosure than HIPAA alone.

5. Data Retention

Active account data is retained for the duration of your facility’s subscription. Upon termination of a facility’s account, data is available for export for ninety (90) days, after which it is removed from production systems. Clinical records (including check-ins, journals, assessments, and related documentation) are retained in secure, encrypted archival storage for seven (7) years following the date of last clinical activity, to support audits, investigations, and legal proceedings, and to help facilities meet their own recordkeeping obligations under applicable law. Archived records remain accessible and may be retrieved upon a facility’s written request for these purposes; retention is not limited to disaster-recovery-only backups. Separately, we maintain encrypted disaster recovery backups for business continuity purposes, consistent with our Business Associate Agreement.

6. Children’s Privacy

Roomi is used by treatment facilities to manage clients, who may include minors. Roomi does not directly collect information from minors outside of a facility relationship — client accounts, including those for minors, are created and managed by the enrolling facility, which is responsible for obtaining appropriate parental, guardian, or legally authorized consent prior to enrollment consistent with applicable law. Facilities are responsible for determining and complying with any additional consent or disclosure requirements applicable to minor clients in their care.

7. Your Rights

You may:

  • Request access to or correction of your data

  • Withdraw consent (where applicable)

  • Request deletion of your account

8. Security

We use industry-standard encryption, secure authentication, and access controls to protect your data.

9. Changes to Policy

We may update this Privacy Policy. You’ll be notified of material changes through the app or email.
